By accessing or using Talent Sentinel’s virtual assistant services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please refrain from using our Services.
2. Service Description
Talent Sentinel, a Doing Business As (DBA) of Feynman-Stuyvesant Holdings Inc., registered in Alberta, Canada, provides virtual assistant services designed to assist with various tasks, as described on our website (talentsentinel.com/services).
3. User Conduct
3.1 Lawful Use: You agree to use the Services in strict compliance with all applicable laws and regulations of Alberta, Canada.
3.2 No Harm: You shall not use the Services in any manner that may harm Talent Sentinel, its virtual assistants, or other users.
4. Privacy and Data Security
4.1 Data Handling: Talent Sentinel follows strict data handling practices, as outlined in our Privacy Policy, available on our website.
4.2 Data Ownership: You retain ownership of any data or information provided to us for the duration of the Services.
5. Non-Disclosure Agreement (NDA)
5.1 Confidentiality: You and Talent Sentinel acknowledge and agree to the terms of our NDA, which obligates both parties to maintain strict confidentiality regarding your business information and data.
5.2 Liability for VA Actions: Talent Sentinel shall not be held legally responsible for any breach of confidentiality or data leak resulting from actions taken by our virtual assistants. We will, however, take legal action to the fullest extent of the law against any virtual assistant found to have violated the NDA.
6. Non-Poaching Agreement
6.1 Non-Solicitation: You agree not to directly or indirectly solicit, employ, or contract Talent Sentinel’s virtual assistants for a period of one year after the termination of your subscription or engagement with Talent Sentinel, except as provided in section 6.2.
6.2 Right to Contract VAs: You may negotiate with Talent Sentinel to purchase the right to contract our virtual assistants after the termination of your subscription. The terms, conditions, and fees for such arrangements will be negotiated separately between you and Talent Sentinel.
7. Talent Sentinel Subscription Terms and Conditions
7.1 Subscription Services: Talent Sentinel offers various subscription plans, each with its own features and pricing. Subscribers can access virtual assistant services and manage their subscriptions according to their preferences, as detailed in our Subscription Terms and Conditions.
8. Billing and Payment
8.1 Payment Information: By subscribing to our Services, you agree to provide accurate, current, and complete payment information. You authorize us to charge your chosen payment method for all applicable fees.
8.2 Price Changes: Talent Sentinel reserves the right to modify subscription pricing with prior notice. Price changes will apply to future renewals.
8.3 Refunds: Talent Sentinel does not provide refunds for days that have already expired in the current billing cycle.
9. Limitation of Liability
Talent Sentinel and its affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way related to the use of our Services. Our liability is limited to the extent permitted by the laws of Alberta, Canada.
10. Indemnification
You agree to indemnify and hold Talent Sentinel and its affiliates harmless from any claims, losses, liabilities, damages, expenses, or costs (including reasonable attorney’s fees) arising out of or related to your use of the Services or any violation of these Terms.
11. Changes to Terms
Talent Sentinel reserves the right to modify these Terms at any time. Updated Terms will be posted on our website, and it is your responsibility to review them periodically.
12. Termination
Talent Sentinel may, at its discretion, terminate or suspend your access to the Services at any time, without notice, for any reason.

These Terms are governed by the laws of Alberta, Canada, without regard to its conflict of law principles.
